1. Agreement to Terms
These Terms & Conditions (“Terms”) govern your access to and use of the products, software and services provided by Magnar Systems (“Magnar”, “we”, “us”). By accessing or using our services, you agree to be bound by these Terms.
2. Use of Services
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Subscriptions & Fees
Where services are provided on a subscription basis, the applicable fees, billing cycle and renewal terms will be set out in your order or service agreement. Fees are payable in accordance with the agreed terms.
4. Intellectual Property
All intellectual property rights in our services, including software, designs, text and trademarks, remain the property of Magnar or its licensors. No rights are granted to you except as expressly set out in these Terms.
5. Customer Data
You retain ownership of the data you submit to our services. You grant us a limited licence to process that data solely to provide and support the services in accordance with our Privacy Policy.
6. Confidentiality
Each party agrees to protect the other party's confidential information and to use it only for the purposes of performing its obligations under these Terms.
7. Limitation of Liability
To the maximum extent permitted by law, Magnar shall not be liable for any indirect, incidental or consequential damages arising from your use of our services. Our total liability is limited as set out in the applicable service agreement.
8. Termination
We may suspend or terminate your access to the services if you breach these Terms. Upon termination, your right to use the services will cease, subject to any provisions intended to survive termination.
9. Governing Law
These Terms are governed by the laws of the jurisdiction set out in your service agreement, without regard to its conflict-of-laws principles.
